13593 MINUTES of a regular meeting of the Mayor and the Board of Trustees of the Village of Skokie, Cook County, Illinois held in the Council Chambers at 5127 Oakton Street at 7:30 p.m. on Monday October 3, 2022 Pledge of Allegiance led by the Deputy Village Clerk Sylvia Luke Mayor Van Dusen called the meeting to order. The Clerk called the Roll. Those present were Trustees Sutker, Robinson, Khoeun, Johnson, Pure Slovin, Klein and Mayor Van Dusen. Motion to approve the Consent Agenda. Proclamations and Resolutions. A. Proclamations Domestic Violence Awareness Month – October 2022 Mayor Van Dusen read a Proclamation calling upon the people of Skokie to raise awareness about the societal problem of domestic violence throughout our community and its devastating effects on families and communities. Charlotte Coats, staff attorney for North Suburban Legal Aid Clinic thanked the Village of Skokie for the Proclamation. Filipino American History Month – October 2022 Mayor Van Dusen read a Proclamation urging people of Skokie to observe Filipino American History Month with appropriate program and activities. Jelly Carandang expressed appreciation and honor for the Proclamation. Recognition, Awards and Honorary Presentations. A. Awards Presentation Twelfth Annual Public Health Partners of Excellence Awards presented by Dr. Edward Linn and Michael Charley Public Health Partners in Excellence Awards to: Heartland Health Center For being a great partner in assisting Skokie residents with applying for state benefits. Also Heartland provides accessible mental health, women’s health, dental services, immigrant senior care and other essential health service to Skokie residents. Nicole Willis Chief Executive Officer accepted the award. Kids First Pediatric Partners For Kids Pediatric Partners immunizing countless of Skokie children with the COVID-19 vaccine. Kids First was one of the first providers to hold drive-through COVID-19 vaccine clinics ensuring individuals and families had easy access to the vaccine. Dr. Cathy DiVincenzo, owner and founder accepted the award. Director of Health and Human Services, Mike Charley congratulated Personal Health Supervisor Susan Reisberg on her retirement and thanked her for all of her expertise and years of service. * Appointments, Reappointments and Resignations. Resolution 22-10-R-1545 Motion to concur with staff’s recommendation and their assessment that 3818 Oakton Street is excellent for a Class 7C designation. Purchase of One Public Works Street Sweeper – Standard Equipment, Chicago Illinois - $268,321.65. Motion to award a contract to Standard Equipment, Chicago, Illinois in the amount of $268,321.65 for purchase of one public works street sweeper. Omnibus vote. D. Request for Executive Session. Motion to approve the request of the Village Manager for an Executive Session at the end of the regular meeting pursuant to Section 2, Paragraph c.5 and C.6 of the State of Illinois Open Meetings act and to adjourn therefrom. Absent: None MOTION CARRIED Report of the Corporation Counsel. FIRST READING: A memorandum from Corporation Counsel Michael M. Lorge dated September 29, 2022 regarding condominium deconversion. The Corporation’s counsel has undertaken a first draft of an ordinance for the Skokie Village Code which would raise the threshold number of unit owners of a condominium property voting deconversion from 75% to 85% in any condominium building with over a certain number of condominium units. There is need for further work and clarification before the proposed ordinance is ready for consideration by the Village Board. The Corporation Counsel’s office intends to ask the Illinois Attorney General for an opinion in this matter and to seek further opinion form the Attorney’s Committee of the Northwest Municipal Conference and the Illinois Local Government Lawyers Association meeting October 7, 2022. We are also seeking data to support any inclusion of a threshold size of a condominium building in Skokie to which the ordinance would apply. The Corporation Counsel answered questions from the Board. Public Comment. Beth Demes had comments concerning the proposed development at Touhy /Linder. She spoke about design, energy efficiency, sustainability, greenhouse-gas emission Green globe certification, bird strike, charging stations, roof in regard to solar panels. Rabbi Ruebner spoke about adopting the Ordinance concerning condo deconversions. Asher Bronfeld spoke about the purpose of the Ordinance and solutions concerning condo deconversions. Kimberly Polka spoke about the Village seal and referendum signs. Andrew Tinkler-request for emails and correspondences regarding the deconversion issue, Asher Bronfeld-Optima Maple-anonymous responses and the Optima Maple building deconversion matter, chrisbuth@aol.com-the proposed sale, Emi Yamauchi, commented on the Mixed-use Development on Touhy/Linder and the potential De-Conversion of Optima’s Maple Tower. Kathleen Maciuba and Susanna Carrera commented on the Touhy/Linder Development. Victoria Wolfinger concerning Affordable housing in Skokie. Lisa Silverman-thanking Public Works for return garbage pick-up. Shira Hammann Broadcast of SEAC meetings. Adjournment. Information Session regarding potential ownership structural change at Maple Tower at Optima, 9739 Woods Drive. Jesse Karasik, Chief Investment Officer made a brief informational session regarding potential ownership structural changes at Maple Tower at Optima, 9739 Woods Drive. He spoke about the process of deconversion, needed 75% of residents to agree, incentives given, relocation help, lease terms, market values. He answered questions from the Board. Kelly Elmore, Principal at the law firm Kovitz Shifi-in Nesbit is an authority on the deconversion process and is retained by the Maple Tower Association also made a presentation and answered questions from the Board. Rabbi Ruebner and Eric Inboboy spoke about the conflict of interest, study of the impact of deconversion, and a moratorium on the proposed plan. Trustee Sutker made a motion to enact an Ordinance to change from 75% to 85% of the condominium unit owners in the Maple Association to agree to sell in order to bind the remaining unit owners and effectuate a sale. Resolution 22-9-R-1544 Motion to proceed with the grant application authorizing the financial commitment for the Gross Point Road improvement project from Church Street to -MainStreet. Ordinance 22-9-C-4616 An ordinance amending Chapter 118, Sections 118-183, 118-185, 218-218 and the Appendix A Use Table, of the Skokie Village Code pertaining to retail streets and the regulation of restricted uses. Steve Elrod, co-founder partner ofElrod Friedman LLP gave a brief overview of the project. Scott Gidwitz, developer and co-owner ofLinder Touhy LLC, and Mike Breclaw, architect from Fitzgerald Associates also spoke about the proposed project. These residents spoke about lack of affordable housing in Skokie with the new development. Gail Schechter, Sue from the Connection for the Homeless, Ted Smulker, Maggie Vandermeer, Emi Yamaucht, and Carrie Bradean. LaurenGrodnicki poke about the possibility of green roof, green wall, electricity and gas. Rob Silverstein, co-owner of Central Sheet Metal Fabricators at 725 1 Linder had questions about the re-zonmg request. trustee Johnson spoke about inclusion zoning. Each year the Health and Human Services Department and Board of Health recognize individuals or organizations that have provided exceptional support of public health initiatives in the community with the "Public Health Partners in Excellence Awards". This year's award recipients are: Heartland Health Center - Skokie For being a great partner in assisting Skokle residents with applying for state benefits such as Medicaid and SNAP. Heartland provides accessible mental health, women's health, dental services, immigrant senior care and other essential health services to our Skokie residents, including residents that are refugees, immigrants and Skokie residents who have lost coverage and are uninsured. With our multiple languages that we serve in Skokie, Heartland Health has always been able to provide HHS documents in Arabic, Spanish, French and English to share with Skokie residents. Heartland will keep HHS up to date with any changes in their programs and has also been welcoming when HHS staff stop by with seasonal interns to provide them with information. Kids First Pediatric Partners For Kids First Pediatric Partners immunizing countless of Skokie children with the COVID-19 vaccine. From day one, when COVID-19 vaccines were first available. Kids First readiiy accepted vaccine from the HHS Department and vaccinated children referred to them by HHS. Kids first was one of the first providers to hold drive-through COVID-19 vaccine clinics ensuring individuals and families had easy access to the vaccine. Kids First has partnered with HHS throughout the years in accepting Vaccines for Children vaccines that were about to expire, providing vaccines at no cost to children who might not otherwise be vaccinated because of inability to pay. Lockerby, Village Manager DATE: September 29, 2022 SUBJECT: MANAGER'S REPORT BOARD MEETING OF MONDAY, OCTOBER 3,2022 A. Cook County Class 7c Real Estate Tax Incentive - 3818 Oakton Street. Economic Development staff is recommending a Class 7c Real Estate Tax Incentive for property located at 3818 Oakton Street to become the headquarters of Paradigm/Mozart Healthcare. The current owner, 3818 Oakton Realty, LLC is a newly created real estate holding company related to Paradigm and Mozart Healthcare, operating nursing homes in midwestern and southern states. Paradigm/Mozart is new to Skokie and the headquarters will initially employ over 20 workers and intends to grow to approximately 40 over the next few years. The proposed renovation will include construction of upgraded office space, work stations, a conference room, employee lounge, masonry and exterior repair, new windows, drywall replacement, painting, carpeting, etc. for an overall $600,000 project cost. A Class 7c incentive provides a five-year property tax incentive for real estate that has been previously abandoned for more than twelve months and has been substantially rehabilitated and used primarily for commercial purposes. The property would be assessed at 10% of market value for the first three years, 15% in the fourth year and 20% in the fifth year. The assessed valuation in 2020 of the 3818 Oakton Street property was $177,430. The total real estate taxes dropped to $33,521 in 2021 due to the vacancy; however, after the sale and reinvestment, the assessed valuation is expected to rise to $253,184. After the end of the five- year period, the total annual real estate tax amount is expected to be over $104,187. Without the incentive, the project is viewed as too risky to commence. Approval of the Village Board is necessary. I concur with staff's recommendation and their assessment that this project is an excellent candidate for a Class 7c designation. I respectfully request Mayor and Board approval of a Resolution authorizing this classification. * B. High Priority Street Patching Proaram 2022 - Arrow Road Construction, Elk Grove Village, Illinois - $369,400. The High Priority Street Patching Program addresses sections of roadway that need repair that are too large for the Public Works Department means and 600899 Return to Agenda methods to patch and yet do not necessitate resurfacing the entire street. Ultimately, this strategy enables the Village to address defective sections of roadway in a cost-effective manner. Three bid responses were received for this year's contract. This contract wi!l provide for the removal and replacement of asphalt at various locations in the Village, including rep!acement along the Scuipture Park bike trail. In addition, work for the Skokie Public Library parking lot is included at their cost. Through this intergovernmental cooperation, the library saved money. It is recommended that a contract in the amount of $369,400 be awarded to Arrow Road Construction, the lowest responsive and responsible bidder. Arrow Road Construction has worked on several Village projects in the past with favorable results. It is anticipated that the project wii! begin in October and be completed within 20 working days. I concur with staffs recommendation and respectfully request Mayor and Board approval. C. Purchase of One Public Works Street Sweeper - Standard Equipment, Chicago, Illinois - $268,321.65. From March until mid-October, residential streets are swept once every five to seven working days. in higher density multi-family areas, signed sweeps are typically conducted in the first full week of each month. During !eaf season, from mid-October through the on-set of winter conditions, the sweepers also play a vital role in the leaf collection program. The Village's street sweeping program had been awarded "Model Practice" status by the American Public Works Association (APWA) during its Accreditation process. Funding for the replacement of one street sweeper for the Public Works Street & Alley Division is included in the FY2023 Capital Improvement Program (CIP) Budget. The sweeper being replaced has in excess of 45,000 miles and is exposed to sand and grit in the operating environment, which has caused extreme wear and mechanical component failure. Pricing for the sweeper was obtained through the Sourcewell Cooperative Purchasing Advantages and the Village has acquired equipment from Standard Equipment in the past with favorable results. I concur with staff's recommendation that a contract in the amount of $268,321.65 be awarded to Standard Equipment for the purchase of one street sweeper. The building was previously owned by atmst and leased by the accounting firm ofRockoff, Harlan, Rasof, Ltd. who merged with another accounting firm and vacated the premises in January 2018. An aerial map and photograph of the current property is attached. After significant efforts on the part of local brokers to sell the property to a viable user, the property was purchased on August 16, 2021, by Renewal Office, LLC, then sold again to 3818 Oakton Realty, LLC this past May 2022. Affidavits have been provided to assert that the property has been vacant since February 2018. Cook County Assessor appeal history records reflect real estate assessment reductions granted due to vacancy beginning with Tax Year 2018. The current owner, 3818 Oakton Realty, LLC is a newly created real estate holding company related to Paradigm (a company that operates 9 nursing homes in Texas and pending ownership of 9 additional nursing homes as of October 2022) and to Mozart Healthcare, a Lmcolnwood- based company that owns and leases to third parties 25 nursing homes in several Midwestern and southern states. The new property will provide back office support and administration space for the newly formed Midwest headquarters ofParadigm/Mozart. Paradigm/Mozart currently employs over 20 workers and intends to grow to an approximate 40 employee workforce as its portfolio of nursing homes grows over the next few years. The company intends to commence renovation of the 3818 Oakton Street property during 4th quarter 2022 and complete said renovation during 2" quarter 2023. The proposed renovation will likely include construction of upgraded office space, work stations, a conference room, employee lounge, masonry and exterior repair, new windows, drywall replacement, painting, carpeting, etc. for an overall $600,000 project cost. The applicant has confirmed that Paradlgm/Mozarfs relocation to the 3818 Oakton Street property is contingent on the approval of a resolution of support letter for the below described Class 7c incentive from the Village of Skokie and approval by the Cook County Bureau of Economic Development and the Cook County Assessor. Given the past assessment and tax levels 600868vl Class 7c: 3818 Oakton Street Paradigm/Mozart Healthcare Return to Mgr Rpt as well as anticipated higher taxes to be paid by the new owner post-construction and occupancy at this location, the project is viewed as too risky without the incentive. The Class 7c Incentive - Commercial Urban Relief Eligibility (CURE) is one of several Cook County incentive programs. Patterned after the County's 6b incentive program for industrial uses, this particular classification is designed to encourage investment for commercial projects in Cook County which would not otherwise be economically feasible. The five-year incentive applies to all newly-constmcted buildings or other structures, including the land upon which they are situated; the utilization of vacant structures abandoned for at least 12 months; or all buildings and other structures which are substantially rehabilitated to the extent such rehabilitation has added to their value, including qualified land related to the rehabilitation. The Class 7c incentive is available to real estate used primarily for commercial purposes" which is defined by Cook County Ordinance as "any real estate used primarily for buying and selling goods and services, or for otherwise providing goods and services, including any real estate used for hotel and motel purposes." Commercial properties receiving the Class 7c designation are assessed at 10% of market value for the first three years, 15% in the 4th year and 20% in the 5th year before returning to the normal commercial assessment rate of 25% thereafter. As with the aforementioned 6b process, an applicant seeking the Class 7c designation must first obtain a resolution of support from the municipality iu which the real estate is located before filing an eligibility application with the Cook County Assessor's Office. The resolution must state the municipality's consent to the filing of the eligibility application and the necessity of the Class 7c incentive for the development and reutilization of the property to occur. This project would be the Village's second approved 7c application under the County's CURE program. The 2020 assessed valuations (AV) following the 2019 triennial reassessment and continued vacancy of the 3818 Oakton Street property totaled $177,430 (representing a County calculated estimated property value (MV) of $709,720). The total real estate taxes for the property had dropped to a low of $33,521 in 2021 due to the building's vacancy. But for this proposed development, said annual tax amounts would likely continue to decline or remain stagnant. After the planned development (e.g., the sale of property in 2021 and the over $600,000 investment into the building in 2023), the AV is expected to increase to greater than the highest recent final AV (2021) of $253,184 (with a potential 2022 tax bill of $73,645). Therefore, at the end of the 5- year 7c incentive period, the total annual real estate tax amount is expected to be over $104,187 annually (a 40%+ increase over 2022 taxes.) Based on the above scenario, the Economic Development staff supports Paradigm/Mozart Healthcare's request for a Class 7c designation for this property to enable the redevelopment of an underutilized site as well as bring new jobs, the company's headquarters and new visitors to the Village. When making deals, less important than census levels, which continue to be below pre-COVID levels, Mozart Heatthcare looks for ways it can shore up deficiencies in operations before closing, such as streamlining vendor relationships. Shkop said the company can come in and provide support operators didn't need five to 10 years ago, such as adding a full-time corporate recruiter and implementing purchasing software. See memorandum dated September 29, 2022 regarding condominium deconversation. ec: Pramod Shah John Lockerby Page 1 of 1 VOSDOCS-#600872-v1 10/3/2022 Corporation Counsel's Report Return to Agenda Memorandum Corporation Counsel's Office To: The Honorable M^yorand Board of Trustees /^ From: ^m/Vi^-^CAA Miq^el^lLbrget CorpSl^tiSn^Sounsel Date: September 29, 2022 ^ ^ Subject: Optima Condominium Maple Tower Deconversion At the Skokie Village Board Meeting of September 19, 2022, there was extensive discussion concerning the specific real estate transactions and anticipated Condominium Board actions which would result in the deconversion and forced sale from individual condominium ownership to a single owner rental building (hereinafter "Contemplated Maple Deconversion") at the Optima Condominium Maple Tower. The Board heard from three groups of interested parties who are engaged in the Contemplated Maple Deconversion discussion. This included the Attorney for the Maple Condominium Association, the real estate firm which intends to undertake deconversion of the Maple tower and a few condominium owners in the Maple Tower who are concerned and object to any deconversion of the Maple tower. No condominium owners from the Maple Tower spoke in favor of the Contemplated Maple Deconversion, although the Village has in the interval received communications in favor of the deconversion from individual owners. The Village Board requested that the Village Manager and the Corporation Counsel's Office examine the issue, recommend possible action which the Board could undertake and draft any ordinance which would effectuate the results of the research and recommendation. During the past 2 weeks our office has met with other municipal legal departments that have considered the action regarding deconversion, reviewed numerous articles concerning the issue of deconversion and undertaken legal research of Illinois Court decisions. Additionally, the Corporation Counsel's Office has undertaken a first draft of an ordinance for the Skokie Village Code which would raise the threshold number of unit owners of a condominium property voting for deconversion from 75% to 85% In any condominium building with over a certain number of condominium units. Notwithstanding the preparation of this initial draft, there is need for further work and clarification before the proposed ordinance would be ready for consideration by the Village Board. Questions have been raised regarding the Village's authority to act in this matter, even under our home rule authority. Further, we seek clarification concerning the size of the condominium property which would be subject to the greater standard. Page 1 of 3 VOSDOCS-#601118 Return to Agenda First, 765 ILCS 605/15, governs the procedures by which condominium property can be deconverted. This Statute's procedures and guidelines concerning deconversion have not been challenged or adjudicated in Illinois, but its legislative history is somewhat instructive. The concept of condominium !aw evolved in Puerto Rico in 1958 when it passed the first Condominium Act in the United States. It led to the changes in the National Housing Act which was the harbinger of condominium growth throughout the country. Illinois enacted its Condominium Property Act in 1963. Notably, the Illinois General Assembly enacted revisions to the Condominium Property Act in 2018 which were specifically dealing with the concerns before the Village Board today, including 1) owners who were under water but forced into a sate; and 2) valuation process and disputes with the association which was imposing unfair sates in some cases. The State Legislature did not increase the required percentage of owners necessary to approve a deconversion, nor did it establish a restriction on the size of the building that could be deconverted. This history and State Legislative recent action might be noteworthy for the Village Board, although ills in no way controlling of the Board's consideration, discussion or action. Second, Illinois case law holds that a home rule ordinance can stand in direct and immediate conflict with State statute, except when a state statute specifically restricts home rule authority. However, there are cases which present nuanced legal limitations. Such circumstances would include when a state statute is written to postulate a requirement or in those few cases where vital state interests would be sacrificed by permitting the local legislation to prevai! or prevail until the next session of the General Assembly. City of Chicago v. Roman, 184 II! 2d 504 (1998) and Palm v. 2800 Lake Shore Drive Condo Ass'n, 370 III Dec. 299 (2013). The General Assembly may limit or restrict a home rule unit's power by allowing local ordinances, but only within limits consistent with the statutory scheme. Third, there is no reported court case in which a home rule municipality in Illinois such as our Village, attempted to deviate from the statute's requirements, nor am I aware of any home m!e municipality that adopted its own deconversion requirements other than the City of Chicago. The City of Chicago enacted its ordinance in September, 2019 which increased the number of unit owners need to undertake deconversion from 75% to 85%. Several other municipalities have considered such action but determined not to do so, including Oak Park, Evanston and Naperville. Each municipality seems to have made its decision based on different factors or data. The proposals varied in the percentage of units required for deconversion and the number of units in the condominium building to allow it to be eligible for deconversion. While the City of Chicago ordinance has not been challenged, the Village of Skokie is keenly aware that some ordinances that are not challenged in Chicago will be tested in smaller populated municipalities such as Skokie. Often a law firm is hesitant to take on the full force and size of the Chicago Corporation Counsel's Office and waits for a smaller Page 2 of 3 VOSDOCS-#601118 Return to Agenda municipality to pass an ordinance to challenge. The Village of Skokie has experienced this in the past. Fourth, further research is needed concerning whether a home rule municipality could deviate from the Illinois Condominium Property Act requirements by adopting its own ordinance. For instance, a court could rule that it is not within a home rule municipality's authority to alter the required percentage or establish a size of condominium property because the deconversion authority is a matter of statewide concern under the Illinois Supreme Court case of City of Chicago v. StubHub, Inc., IL 1 1127 (2011). This and other home rule authority court cases, including Palm v. 2800 Lake Shore Drive Condo Ass'n, do not determine this ultimate question. Specifically, the caution for the Village is that the Illinois statutory language provides that a condominium association can adopt a greater percentage for approving a sale than what is contained in the statute, but there is no corresponding language in the statute that allows a municipality to adopt a greater percentage. If the Village were to adopt a greater percentage, such a percentage would be in direct conflict with an association's percentage. The countering factor is that the condominium association in theory could have and should have addressed the matter in its condominium declaration, but the individual owners apparently never had enough votes to accomplish this even if they had thought of It. Finally, the previous point leads to an assessment of the inclusion of deconversion in the Illinois Condominium Property Act in the first place. It was a thoughtful and pragmatic balance between the necessity of a codified method to dispose of distressed property and the property rights and just compensation of individual unit owners. In my conversations with other municipalities this process of balancing interests has in most cases led to the condusion that market forces, regulated by strict provisions to assure fair market value to the owner, should be considered rather than a patch work of local municipal ordinances. However, this is a matter for local consideration that only our Village Board can assess and determine. Therefore, because of the open legal status and conflicting interpretations the Corporation Counsel's Office intends to ask the Illinois Attorney General for an opinion in this matter and to seek further opinion from the Attorney's Committee of the Northwest Municipal Conference and the Illinois Local Government Lawyers Association meeting October 7, 2022. We also seek data to support any inclusion of a threshold size of a condominium building in Skokie to which the ordinance would apply so as to avoid any random selection. Sale of Condominium Property. 7 (a) In any condominium property with more than _ (number) units and unless a 8 greater percentage is provided for in the declaration or bylaws of the condominium 9 property, not less than 85% of the unit owners of the condominium property must 10 consent by affirmative vote at a meeting of unit owners duly called for such purpose, n to sell the property. Such action shall be binding upon all unit owners, and it sha! 12 there upon become the obligation of each condominium unit owner to execute and 13 deliver a!l documents and instruments of sale as shall be necessary to effect such 14 sale. Provided, however, that any condominium unit owner who did not vote in favor 15 of such action and who has filed written objection thereto with the manager or board 16 of managers within 20 days after the date of the meeting at which the safe was 17 approved, shall be entitled to receive from the proceeds of such sale an amount is equivalent to the greater of: (i) the value of his or her interest, as determined by a 19 fair appraisal, less the amount of any unpaid assessments or charges due and owing 20 from such unit owner or (ii) the outstanding balance of any bona fide debt secured 21 by the objecting unit owner's interest which was incurred by such unit owner in 22 connection with the acquisition or refinance of the unit owner's interest, less the 23 amount of any unpaid assessments or charges due and owning from the 24 condominium unit owner. The objecting unit owner is also entitled to receive from 25 the proceeds of a sale under this Section reimbursement for reasonable relocation 26 costs, determined in the same manner as under the federal Uniform Reiocation 27 Assistance and Rea! Property Acquisition Policies Act of 1970, as amended from 28 time to time, and as implemented by regulations promulgated under that Act. 29 30 (b) If there is a disagreement as to the fair market value of the interest of a condominium 31 unit owner who did not vote in favor of the sale of the property, that unit owner shall 32 have a right to designate an expert in real property appraisal to represent them, in 33 which case, the prospective purchaser of the property shall designate an expert in 34 real property appraisal to represent them and both experts shall mutually designate 35 a third expert in real property appraisal. (c) Except as otherwise provided in this section, the sale of condominium property is governed by the Illinois Condomium Property Act, codified at 765 ILCS 605/1 etseq. and other applicable laws.
