13739 MINUTES of a regular meeting of the Mayor and the Board of Trustees of the Village of Skokie, Cook County, Illinois held in the Council Chambers at 5127 Oakton Street at 7:30 p.m. on Monday, April 1, 2024 Pledge of Allegiance led by Acting Clerk Sylvia Luke Motion to permit Trustee Pure Slovin to participate remotely for this meeting. Moved: Trustee Robinson Seconded: Trustee Sutker Ayes: Sutker, Robinson, Johnson, Klein and Mayor Van Dusen Nays: None. Absent: Khoeun. MOTION CARRIED Mayor Van Dusen called the meeting to order. The Clerk called the Roll. Those present were Trustees Sutker, Robinson, Johnson, Pure Slovin, Klein and Mayor Van Dusen. Trustee Khoeun was absent. Motion to approve the Consent Agenda. Recognition, Awards and Honorary Presentations. A. Pat Kreis, Chief of Police of Vernon Hills and Vice President of the Illinois Association of Chiefs of Police Pat Kreis presented a plaque of the Illinois Law Enforcement Accreditation Program Tier 1 Accreditation plaque to the Skokie Police Department. He congratulated the Village of Skokie on reaccreditation. Police Chief Jesse Barnes accepted the plaque and thanked the staff for the team effort. Appointments, Reappointments and Resignations. * A. North Shore Center for the Performing Arts in Skokie Exterior Rehabilitation including Preparation and Restoration of Structures and Painting – Superb Steel & Construction, Skokie, Illinois - $413,525.90 and Bee Linder Lean Service, Bridgeview, Illinois – $85,500 Motion to concur with Staff’s recommendation that a contract for EIFS Rehabilitation (Base Aid A) be awarded to Superb Steel & Construction in the amount of $413,525.90 and a contract for Front Canopy Rehabilitation (Base Bid B) be awarded to Bee Liner Lean Service in the amount of $85,500. Omnibus vote. . *B. Purchase of One Refuse Packer Truck – R.N.O.W., Inc., West Allis, Wisconsin – $242,169. Motion to award a contract to R. N.O.W., Inc., West Allis, Wisconsin in the amount of $242,169.00 Omnibus vote. *C. Geographic Information System (GIS) Consortium Membership Agreement and Annual Service Provider Agreement. Resolution 24-4-R-1566 Motion to approve a Resolution renewing the service provider agreement with MGP Omnibus Vote. Report of the Corporation Counsel. A. No Report. Unfinished Business. A. Motion to Reconsider: Plan Commission Case 2023-31P – Site Plan Approval: 5202- 5250 Old Orchard Road. Moved: Trustee Robinson Seconded: Trustee Klein Mitch Goltz form GW property made a presentation on the proposed project. He spoke about the conversion, reusing existing property, marketing, traffic, green space, balconies, layout of the property, amenities, glass walls, and the 5% affordable units in the South building. Lauren Grodnicki commented on triple paned windows, using the existing property, balconies, using turf grass, and solar panels on the roof. Jerry Brozek, spoke about the empty office space and possibility of a ghost building in the proposed development. He congratulated the developers to want to take on this project. Gail Schechter-Skokie Neighbor for Housing Justice spoke about Affordable Housing. And in the building that120 units in the South tower-6 affordable unit was not enough. She also spoke about 120% of the median income which is the AMI for the Chicago Metro area. Ed Smukler, spoke about affordable housing and approving luxury housing. Emi Yamauchi also spoke about affordable housing at 120% of the area median income. Trustee Johnson spoke about the Inclusionary Zoning policy that having it in place would provide standards and guidelines for developers. The Mayor remarked that the Ordinance is in the final stages and would be presented soon. Motion to approve the proposed planned development at 5202-5250 Old Orchard. Rd. Ayes: Sutker, Robinson, Pure Slovin, Klein and Mayor Van Dusen Nays: Johnson Absent: Khoeun. MOTION CARRIED Unfinished Business Trustee Johnson wanted to confirm an Agenda request establishing a Code of Ethics for municipal offices in the Legal Department will be on the next meeting. The Manager stated that it will be on the Agenda April 15th. He also questioned about the update appointment process for the Village Clerk. The Mayor stated that it will also be on the Agenda April 15th. 618466 13741 Meeting of the Mayor and Board of Trustees Monday, April 1, 2024 Page Three New Business. A. Resolution establishing a referendum question concerning the establishment of term limits for the Mayor, Village Trustees and Village Clerk. Trustee Pure Slovin made a motion to adopt a Resolution establishing term limits for Mayor, Village Trustees and Village Clerk. Trustee Sutker proposed a substitute motion on delaying so to propose a second referendum on the ballot regarding Rank Choice Voting. The delay on voting for the term limits until the second referendum is ready. Motion to delay the vote to approve a Resolution providing for a referendum question concerning the establishment of term limits for the Elected positions of Mayor, Village and Trustee and Village Clerk of the Village of Skokie until the referendum item is prepared. Moved: Trustee Sutker Seconded: Trustee Klein Ayes: Sutker, Robinson, Johnson, Pure Slovin, Klein and Mayor Van Dusen Nays: None. Absent: Khoeun. MOTION CARRIED B. Senate Bill 3774 - Open Meetings Act Clarification. The negotiations on legislation to clarify areas of the Open Meeting Act. Two areas are in need of statutory clarification- Should closed session minutes be approved in closed session where they originated or in public and when municipalities need to approve the minutes of closed session. The discussions are ongoing for efforts to attempt to clarify the municipal code. Public Comment. Mr. Irwin spoke about street cleaning. There are no signs and residents do not move cars for street cleaning. Linda Berendsen, a teacher spoke about the Board Meetings being open minded and respectful. Affordable housing for Seniors. Britta Larson -circulator for petitions for term limits and rank choice voting thanked the Board for agreeing to discuss at next meeting. Matt Jarvis also encouraged by the motion to discuss term limits and rank choice voting. He spoke about Church Street, east of Niles Center-removal of cross walks. Church Street is a County Road. Lauren Grodnicki spoke about Environmentally Friendly vs Sustainable and Environment assessments. A resident complemented the great service in the Village of Skokie that he has received. Jerry Brozek spoke about Carbon release. Lauren Grodnicki spoke about global greenhouse gas. Emi Yamauchi asked about update on Homewood Suites and about the loan that was promised. The Mayor and Manager stated that no money has been given out. Trustee Johnson asked if the money could be allocated to another project and be discussed at the Budget hearing. Howard Sproull give a handout concerning the proposed Gas powered leaf blower ban. Alan Kotler- Village of Skokie doors locked when he tried to come in. Trustee Johnson asked the Board members to consider action about establishing a clear ethics guideline for appointed Village attorneys. Public Comments by email. Howard Sproull-Climate concerns Linda Sanchez- support for the referendum questions. Cynthia McKeag Tsukamoto-voter initiated campaigns show the commitment of Skokie residents to the democratic process. Beverly Pines Kehr-support voter-initiated referendums. Michelle Patt-Opposition to the proposed referendum to impose term limits on Village Offices. Adjournment. No Report. Unfinished Business. Tmstee Johnson spoke about a possibility of establishing a registration/license program for short- term rentals (STRs) in Skokie. Also discussed establishing a Code of Ethics for municipal officers in the Village ofSkokie Legal Department and encouraging the Board to examine the ICMA Code of Ethics to follow. Tmstee Johnson inquired on any updates on the Inclusionary Ordinance and an Ordinance to phase out gas powered tawn equipment. Mayor responded that the hiclusionary Ordinance is in the final drafting stages. Manager Lockerby stated that there is discussion and monitoring how other communities are handling the lawn equipment. 618120 REVISED 13736 Meeting of the Mayor and Board of Trustees Monday, March 18, 2024 Page Two Plan Commission. Johamia Nyden, Community Development Director gave a brief overview of the proposed planned development at 5202-5250 Old Orchard. She spoke about Development and Investment activity on Old Orchard Rd which included: Old Orchard Corridor Public & Private Investment Old Orchard Road Improvement Project Old Orchard Road reconstruction and bridge replacement The Henry at 5400 Old Orchard Old Orchard Towers at 5202 Old Orchard Road and Westfield Old Orchard redevelopment. The developers and contract purchasers-Tom Drake, of the Drake Group, Mitch Goltz of the GW Property, and the Architect answered questions from the Board and residents concerning glass windows, insulation, all electric appliances, energy efficiency, parking, affordability, fee in lieu, sustainability, 1-94 Northbound ramp, and changes mleases of the occupants. Lauren Grodnicki, Jerry Brozek, Emi Yamauchi asked questions. A. Plan Commission Case 2023-31P - Site Plan Approval: 5202-5250 Old Orchard Road. Motion to concur with the Plan Commission that the petitioner's request for a site plan approval to convert the two 7 story office buildings into mixed-use residential and commercial buildings with 245 residential units and 740 parking spaces, in the OR Office Research district be approved subject to all conditions. Moved: Trustee Klein Seconded: Trustee Robinson Ayes: Sutker, Klein and Mayor Van Dusen Nays: Robinson, Johnson Absent: Khoeun. Recuse: Pure Slovin MOTION FAU.ED The petitioner's asked for clarification and asked if the project could be reconsidered. Motion to reconsider at the next Board Meeting. Public Comment. Jerry Brozek commented on Affordable housing cause, fee in lieu. Alan Kotler commented on the proposed project and that it should be in moderation- affordable housing and luxury housing. He also spoke about violation on the Open Meetmg Act that Evanston had a smiilar issue and that the city disagreed with the Attorney General's determination. Emi Yamauchi commented on affordable housing and that residents are rent burden. Also asked if there were any updates on the Homewood Suites. Mayor responded that there is court action coming up and force for mediation and resolution. Trustee Johnson continued his presentation on Reforming the Village of Skokie Legal Department Mayor Van Dusen responded disagreeing with Tmstee Johnson. Alan Kotler commented that the Village of Skokie is an effective good government and nothing should change. He commented that Trustee Johnson was undemocratic and dictating how to run the government. North Shore Center for the Performing Arts in Skokie Exterior Rehabilitation includinq Preparation and Restoration of Structures and Painting - Superb Steel & Construction, SkokieJUinois - $413,525,90 and Bee Liner Lean Service, Bridqeview, Illinois - $85,500. The Fiscal Year 2024 Capital Improvement Program (C1P) contains funding for the rehabilitation of the North Shore Center for Performing Arts in Skokie's exterior surfaces. The constant exposure to the elements is causing the exterior structure to fade, metal components to rust and sealants to crack and eventually fail. The publicly solicited bid was divided into two parts; Base Bid A EIFS (Exterior Insulation Finishing System) Rehabilitation and Base Bid B Front Canopy Infrastructure Rehabilitation as not many contractors have the in-house capability to execute both projects. It is staff's recommendation that a contract for EIFS Rehabilitation (Base Bid A) be awarded to Superb Steel & Construction in the amount of $413,525.90 and a contract for Front Canopy Rehabilitation (Base Bid B) be awarded to Bee Liner Lean Service in the amount of $85,500. The Village is anticipating a State of Illinois grant to fund this project and other capital improvements. I concur with staff's recommendation and respectfully request Mayor and Board approval. * B. Purchase of One Refuse Packer _Truck - R.N.O.W., Inc., West Allis, Wisconsin -$242,169. The replacement for a 2019 refuse-packer truck chassis Is necessary due to a vehicle fire that damaged the engine and frame beyond repair. This unit is necessary in the Refuse Division fleet to complete daily operations and maintain spare vehicles due to unforeseen repairs. The Risk Management budget will provide funding for the emergency replacement of this refuse-packer chassis due to the damage it sustained in the fire and the inability to repair. The new unit will be a Battle Motors LET2-64 chassis with a reinstalled Loadmaster body refuse- packer body. It is recommended that a contract be awarded to the lowest responsive and responsible bidder, R.N.O.W., Inc. The Village has done business with R.N.O.W, Inc. in the past with favorable results. C. Geographic Information System (GIS) Consortium tVlembership Agreement and Service Provider Agreement. In 2005, the Village of Skokie joined the Geographic Information System (GIS) Consortium and simultaneously entered into an annual service provider agreement with Municipal GIS Partners, Inc. (MGP). GIS manages information in a geographic or map context. The Village's G!S continues to assist Village operations. For example, this year GIS completed mapping projects that were critical in dedsion-making, including Fire Calls for Service Heat Map, Local Voting District Mapping Dashboard, Rodent Tracking Dashboard, Special Use Permit data and water main breaks digitization. The service provider agreement with MGP needs to be renewed. The renewal agreement includes a 3.4% increase with a not to exceed amount of $161,087. Comments: The replacement of this refuse-packer truck chassis is necessary due to a vehicle fire that damaged the engine and frame beyond repair. Attempts were made to get quotes to repair the vehicle but were advised against by the chassis manufacturer and R.N.O.W. Inc, who installed the body on the chassis because they could not verify the safety of the vehicle frame. The truck being replaced is a 2019 Crane Carrier Model LET-2 (unit #163) that was expected to be in the fleet for a twelve (12) year life-cycle. This unit is necessary m the Refuse Division fleet to complete daily operations and maintain spare vehicles due to unforeseen repairs. (MGP). The award winning GIS Consortium is a group of forty-two local communities working together to develop cost-effective solutions for geographic information systems (GIS) and related technologies and includes: Arlington Heights, Bensenville, Brookfield, Buffalo Grove, Carol Stream, Deerileld, Des Plaines, Elk Grove, Elmhurst, Flossmoor, Glendale Heights, Glen Ellyn, Glencoe, Glenview, Hanover Park, Highland Park, La Grange, La Grange Park, Lake Forest, Libertyviile, Lincolnshire, Lincolnwood, Morton Grove, Mundelein, Nomdge, Northbrook, Oak Brook, Oak Park, Paiatine, Park Ridge, River Forest, Riverside, Rolling Meadows, Roselle, Schiller Park, Skokie, Streamwood, Tinley Park, Wheeling, Wilmette, Winnetka and Woodridge. The annual renewal agreement with MGP is a (3.4%) increase as compared to the current agreement with a not to exceed amount of $161,087. The Consultant shall notify the Municipality as soon as practicable prior to tenamating the employment of, reassigning, or receiving notice of the resignation of, any Consultsst Personnel assigned to provide the Municipality with the Semces. The Consultant shall have uo claim for damages and shall not bill the Municipality for additional time and materials charges as the result of any portion of the Services which must be duplicated or redone due to such tennmation or for any delay or extension of the time ofperfonnance as a result of any such tenniaation, reassigning, or resignation. 7.3 Use of Subcontractors. The Consultant's use of any subcontractor or subcontract to perform the Services shall not relieve the Consultant of full responsibility and liability for the provision, performance; and completion of the Semces as required by this Contract- All Services performed under any subcontract shall be subject to all of the provisions of this Coatract in the same manner as ifperibrnaed by employees of the Consultant. Consultant shall be flilly responsible and assumes liability for the acts and omissions of all subcontractors directly or mdirectfy employed by, orworldngatthe direction of, the Consultant in the performajace of the Services. 7.4 Removal of Personnel and Subcontractors. SECTION S ACCOMMODATION OF CONSt?LTANT PERSONNEL; MtTNIClPAL FACILITIES 8.1 Facilities, Equipment, sad Records. The Mumcipality shall provide the Consultant with adequate and safe office space, fumishmgs, records, hardware; software and connectivity to fulfill the objectives of the GIS program mcluding; without limifatioa, the followmg: (a) Office space for the Consultant's Personnel. This space should effectively and securely house all required GIS systems; peripherals and support tools. This space must be available during aormai busmess hours; (b) Furnishings including adequate desk(s); shelving; and seating for the Consultant's Personnel; (c) Hanhvaie; software; peripherals; internet access, and network connectivity meetins current mimmum technical standards, as detemiiaed by Consultant from time to time, to perform the program objectives efficiently; aad (d) Any Municipality data or record which is necessaiy for cariyiag out the work as outlined in the Contract, Statement of Work or Supplemental Statement of Work. 8.2 Backup and Recovery Systems. The Muaicipality shall be responsible for installing, operating and momto-rmg the backup and recovery systems for all the Municipality's GIS assets that permit the Consuitaat to continue Services within a reasonable period of time following a disaster or outage. The Consultant shall be responsible for mstallmg, operating and monitoring the backup and recovery systems for all Consultant's assets that permit the Municipality to coatiaue accessing the GISC Matenals and Sendces within a reasonable period of time followiae a disaster or outage. 8.3 Right ofEatnr: Limited Access. Consultant's Personnel peribnning Services shati be permitted to enter upon the Municipality's property in comiection with (he performance of the Services, subject to those rules established by the Municipality. Consent to enter upon a Municipality's facility given by the Mumcipality sliall not create, nor be deemed to unply, the creation of any additional responsibilities on the part of the Municipality. The Consultant acknowledges that this Contract is not a license to use the Municipal Materials except as needed to perform the Services hereunder. 9.2 Third-Party Materials. If applicable, to the extent the Consulfsnt has agreed to obtain and/or license Third-Party Materials on behalf of Municipality; the Cousultant shall obtain a license for Municipality fo use the Third-Party Materials as part of the Services for the purpose specified in the applicable Statement of Work. ilThird-Paffy Materials" shall include, but are not limited to; computer software, script or programramg code or other materials ow&ed by third parties and/or any software available from third parties, that is licensed by Consultant for the benefit of the Municipality. 9J GISC Materials. (a) The Consultant herby grants the Municipality a limited, personal, noutransferable, aon-exchisive Hceuse to use the GISC Materials solely for the purpose of and in connection with the Municipality's GIS. Upon expiration or termmtioa of this Contract or at such time the Municipality is no longer a member ofGISC or in breach of its obligatious hereunder; the Municipality shall not be entitled to or granted a. license in future euhaaceme&ts, improvements or modifications in the GISC Materials. The Municipality may grant a sublicense to a ttiird party that fhe Municipality engages to maintain or update the G£SC Materials in connection with the Municipality's GIS; provided that such third party agrees m writing to be bound by the license restrictions set forth in this Contract. Consultant shall not use or disclose any Confidential Eafonnation without the prior written consent of the Municipality. Cousultant will use appropriate admimstrative, technical and physical safeguards to prevent the improper use or disclosure of any Confideatial Diformation received from or on behalf of the Municipality. Upon the expiration or termination of this Contract, Consultant shall promptly cease using and shall return or destroy (and certify in writing destruction of) all Confidential Infon&ation furnished by the Municipality aloag with all copies thereof is its possessioa mcluding copies stored in any computer memory or storage medium. The teim "Confidential Isformation" does aot include infonnation that (a) is or becomes generally available to the public other than as a result of a breach of this Contract by the Consialtsat (b) was in the Consultant's or Consultant Personnel's possession on a noa-confideatial basis from any source other than ttie Mumcipality, which source; to the knowledge of the Consultant, is entitled to disclose such mfonnation without breach of any obligation of confidentiality; (c) is indepeEtdently developed by the Consultant without the use of or reference to, m whole or in part, any Confidential lafonnation; (d) required to be disclosed pursuant to a court order issued by a court having jurisdiction thereof (subject to Section 9.5); or (e) information subject to disclosure under FOFA (as defined below in Section 9.6). For avoidance of doubt it is agreed that the GISC Materials shall not be considered Confidential Information. 9.5 Dissemmation of Confidential lafomiatiotL Unless directed by the Mumcipality, Consultant shall not disseminate any Confidential Informatioa. If Consultant is presented with a request for documents by any administrative agency or with a subpoena duces tecum regardmg a&y Confidential Informatioa which may be in Consultant's possession as a result of Services provided under this Contract unless prohibited by law. Consultant shall immediately give notice to the Muaicipality with the understanding that the Mimicipality shall have the opportunity to contest such process by any means available to it prior to submission of any docimients to a court or other third party. Consultant shall act be obligated to withhold delivery of documents beyond the time ordered by a court of law or admimstrative agency, unless the request for production or subpoena is quashed or withdrawn, or the time to produce is otherwise extended. Cotisultaut shall cause its personnel, staff and subcontractors; if any, to undertake the same obligations regarding confidentiality and dissemmation of informatios as agreed to by Consultant under this Coatract 9.6 Freedom, of Infomiation Act R.equests. Within four (4) business days after the Municipality's Notice to the Consuitaut of the Municipality's receipt of a request made pursuant to the Illinois Freedom of Information Act (D..CS 140/1 et seq. - herem 'TOLA"), the Coosultant shall furnish all requested records m the Consultant's possession which are in any manner related to this Contract or the Consultant's perfonuance of the Services, mcludmg but aot limited to aay documentation related to the MuuicipaUty and associated therewith. The Consultaat shall not apply any costs or charge any fees to the Municipality or any other person, firm or corporation for its procurement and retrieval of such records ia the Consultant's possession which are sought to be copied or reviewed in accordance with such FOIA request or requests. As used herem, "in the Consultant's possessioa" includes documents in the possession of any of the Consultant's officers, ageats, employees and/or mdepende&t coatractors; and "Costs" includes but is not limited to attorneys' fees, witaess fees, filing fees and any and all other expenses whettier iacurred by the Municipality or the Consultant. 9.7 News Releases. The Consultant may not issue any news releases without prior approval from the Municipality Manager nor will the Coasultant make public proposals developed under this Contract without prior written approval from the Municipality Manager. 9.8 Survive Termination. The provisions of Section 9-1 and 9.4 through and including 9.8 shall survive the termmatum of this Contract. SECTION 10 LBHTATION OF LIABILITY 10.1 THE REPRESENTATIONS SET FORTH IN THIS COTsTRACT AKE EXCLUSIVE AND EM LEU OF ALL OTHER REPRESENTATIONS AND WARRANTIES, EXPRESS OR DvIPLIED, ARISING BY LAW OR OTHERWISE, INCLUDING BUT NOT LIMFTED TO ANY FITNESS FOR A PARTICULAR PUKPOSE OR ANY IMPLIED WARRANTffiS ARISING FROM TRADE USAGE. COURSE OF DEALmG OR COURSE OF PERFORMANCE. UNDER NO CIRCUMSTANCES SHALL EITHER THE CONSULTANT OR THE MUNICIPALFTY BE LIABLE TO THE OTHER FOR ANY ENDIRECT, CONSEQUENTIAL, SPECIAL OR INCIDENTAL DAMAGES, INCLUDING LOST SALES OR PROFITS, IN CONNECTION WITH THIS CONTRACT. EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SECTION 11 CONSULTANT WARRANTS; INDEMNXFICATION; INSUR.^NCE 11.1 Warranty of Services. The Consultant warrants that the Services shall be perfonned in accordance with industry standards of professional practice, care, and diligence practiced by recognized coasulfmg firms m perfonnmg sen^ices of s. smiilar nature m existence at the time of the Effective Date. 11.2 Indemnificatiofi. The Consultant shall indenmily and save harmless the Municipality and its officers, employees, and agents from and against any and all loss, liability and damages of whatever nature, including Workmen's Compensation claims by Coasultant's employees, ia any way resulting from or arising out of the intentional, willful and wanton; negligeat and/or gross negligent actions or omissions of the Consultant, the Consultant's employees and agents. 11.3 Insurance. The Consultant must procure and maintam, for the duration of this Contract, insurance as provided in Attachment 2 to this Contract. SECTION 12 GENERAL PROVISIONS 12.1 EqualEmplovment Qppprtunitv Cla.use. la the event of the Coasultaafs non- compliance with the provisions of this Section 12.1 or fhe IUiaois Human Rights Act 775 1LCS 5/1-101; et seq., as it may be amended from time to time, and any successor thereto (fhe t~Acf), the Consultant may be declared ineligible for future contracts or subcontracts with the State of Illinois or any of its political subdivisions or municipal corporations, and this Contract may be cancelled or voided m whole or m part and other sanctions or penalties may be imposed or remedies invoked as provided by statute or regulation. C. 750.5, etseq., as it may be amended from time to tmie, and any successor thereto (the "Applicable Regulations")) of minorities and women in the areas from which the Consultant may reasonably recruit and the Consultant will hire for each job classification for which employees are hired in a way that minoritiss and women are not underutilized. If any labor organization or representative fails or refuses to cooperate with the Consultant m the Coasultanfs efforts to comply with the Act and the Applicable Regulations; the Consultant will promptly notify the Illinois Department of Human Rights (the "DepartmenF) and fhe Municipality and will recruit employees from other sources when necessary to fulfill its obligations under the Contract. (f) That the Consultant will permit access to all relevant books, records, accounts and work sites by personnel of the Municipality and fhe Department for purposes of investigation to ascertain compliance with the Act and the Department's Rules and Regulations. (e) That the Consultant will include verbatim OF by reference the provisions of this Section 12.1 m every subcontract awarded under which any portion of the Contract obligations are undertaken or assumed, so that the provisions will be binding upon the subcontrsctor. In the same manner as with other provisions of this Contract the Consultant will be liable for compliance with applicable provisions of this Section 12.1 by subcontractors; and further the Consultant will promptly no^fy the NuaicipaHty and the Department in the event any subcontractor fails or refuses to comply with the provisions. In addition, the Consultant will not utilize any subcontractor declared by the Illinois Human Rights Commission to be ineligible for contracts or subcontracts with the State of Illinois or any of its political subdivisions or municipal corporations. 12.2 No Collusion. The Consultant represents and certifies that the Consultajit is not barred from contractmg with a unit of state or local govemment as a result of (i) a deliaquency m the payment of any tax administered by the Illinois Departmeat of Revenue unless the Consultant is contesting, in accordance with the procedures established by tiie appropriate revenue act, its liability for the tax or the amount of the tax; as set forth m Section 11-42.1-1 et seq. of the Illmois Municipal Code, 65ILCS 5/11-42.1-1 e^jgg.; or (ii) a violation of either Section 33E-3 or Section 33E-4 of Article 33E of the Criminal Code of 1961, 720 ILCS 5/33E-1 et seq. 12.3 Sexual Harassment Policy. The Co&sultant certifies that it has a written sexual harassment policy in full compliance with Section 2-105(A)(4) of the Illinois Humaa Rights Act, 775 ILCS 5/2-105(A)(4). 12.4 Compliance with Laws and Grants. Consultant shall give all notices, pay all fees, and take all other action that may be necessary to ensure that the Semces are provided, perfofmed, and completed in accordance with all required governmeatal pemiits; liceuses, or other approvals and authorizaticms fUat may be required in connection with providmg, perfoi'miug, and completmg &e Semces, and with all applicable statutes, ordmances, rules, and regulations, mcluding without limitatioa the Fair Labor Standards Act; any statutes regarding qualification to do business; any statutes prohibiting discrimisatioa because of, or requirmg afSn&ative actioa based on, race, creed; color, national origin^ age, sex, or other prohibited classification; includmg, without limitatioa, the Americsns with Disabilities Act of 1990, 42 LLS.C. §§ 12101 et seq., and the Illmois Human Rights Act, 775 ILCS 5/1-101 et seq. Consultant shall also comply with all conditions of any federal, state, or local grant received by MimicipaUty or Consultant with respect to this Contract of the Services. 12.5 Assignments and Successors. The parties intend and agree that, if any paragraph, subparasraph, phrase; clause, or other provision of this Contract, or any portion thereof shall be held to be void or otherwise unenforceable; all other portions of this Contract shall remain in full force and effect. 12.7 Third Party Beneficiary. No claim as a third partv beneficiary' under this Contract by any person, finn, or corporation other than the Consultant shall be made or be valid against the Municipality. 12.8 Waiver. No waiver of any provision of this Contract shall be deemed to or constitute a waiver of any other provision of this Contract (whether or not similar) nor shall any such waiver be deemed to or constitute a continuing waiver unless otherwise expressly provided in this Contract. 12.9 Governins Laws. This Contract shall be interpreted accordins: to the mtemal laws, but aot the conflict of laws rules, of the State of Illinois. Venue shall reside in Cook County, Illinois. 12.10 Headin&s. The headings ofthe several paragraphs of this Contract are inserted only as a matter of convenience and for reference and in no way are they intended to define, limit, or describe the scope of intent of any provision of this Contract, nor shall they be construed to affect in any manner the terms and provisions hereof or the iuterpretatiou or constructiou thereof. 12.11 Modification or Amendment. This Coatract constitutes tiie entire Contract of the parties on the subject matter hereof and may not be changed, modified, discharged, or extended except by written amendment or Supplemental Statement of Work duly executed by the parties. Each party agrees that no representations or warranties shall be binding upon the other paity unless expressed in vvriting herein or in a duly executed amendment hereof. 12.12 Attachments. Attachments 1 and 2 are attached hereto, and by this reference incorporated in and made a. part of fhis Contra.ct. In the event of a conflxctbehveen any Attachment aud the text of this Contract the text of this Contract shall control. 12.13 Rights Cumulative. Unless expressly provided to the cont'ary in this Contract each and every one of the rights, remedies, and benefits provided by this Contract shall be cumulative and shall not be exclusive of any other such riffhts, remedies, and benefits allowed by law. 12.14 Good Faith Nesotiation. Before commencing any legal action, the parties agree to enter into good faith negotiations to resolve any contTOYersy; claim, or dispute {Dispute ' ). Such good faith negotiations shall commence promptly upon a party's receipt of notice of any Dispute from fhe other part}' and ccmtiuue for a period of fourteen (14) days or any period of time as mutually agreed upon. 12.15 Notices. There will also be improvements to the garage, adding new signage and EV charging stations. Guest parking will be located on the ground floor of the garage as well as outdoor spaces. They spoke of re-purposing the top deck of the parking garage into recreational and amenities space for a pool, games, yoga, pickleball, and bocce ball. Commissioners inquired about how office and commercial space will mix with the residential use of the building and members from the Zeller Realty Group clarified that upper floors will be designated as residential while the ground floors will be reserved for commercial uses, however both buildings will eventually become fully residential once office leases expire. Commissioners also inquired about the total number of parking spaces on-site. There is a total of 740 parking spaces even after eliminating some spaces in the Garage roof transformation, meeting the required parking for the site. The developer is currently unable to voluntarily provide affordable housing units or a payment in lieu to the Village due to the economics of the development and building costs associated with the project. While this development is located within an existing structure, the development costs on a per square foot basis are similar to new construction costs. Additionally, the applicants have indicated that the rental rates that are feasible in this market will subsequently not support affordable housing at this property. Traffic Engineering Division The Skokie Engineering Division acknowledges that the traffic intensity will decrease due to the change in use and no Traffic Impact Study is required. Overall parking requirement is met for the entire site. 740 parking spaces are provided and 518 are required. All required guest parking must be accessible to the public at all times. Due to the existing 6.5 feet vertical clearance of the garage it is recommended to plan accordingly for tenants who own vehicles that exceed the height restriction. Large pick-up trucks and vans typically are taller than 6.5 feet. Pavement markings should be used in the garage to help guide drivers through the garage. Overhead signage may be used as well. No entry points should be clearly marked. Forestry Division Coordinate with Cook County on parkway trees location along Old Orchard due to impending roadway improvements scheduled for the next two years. Regarding the trees on the garage roof, largest container/tree well possible is required. Specialized lightweight soil is required to maximize health & lifespan of trees planted. Use native plants, shrubs, perennials where ever possible. Native plants are preferred. Tree protection is required for all existing trees to remain that are located near the construction area. The protection must remain in place for the duration of the project. This proposal will bring more than 300 new residents to the area to support nearby retail and employment centers at Westfield Old Orchard Mall and Cook County Courthouse. The generous setbacks and landscaping will screen and provide a buffer for the residential areas to the north in Glenview and Wilmette. The site plan calls for reducing the parking from the current conditions by removing parking from the roof of the parking deck and converting the space into amenity space, including a pool, putting green, and landscaping. The site is served by the highway interchange at Old Orchard Road as well as served by the CTA 54A North Cicero/Skokie Blvd. and Pace 422 Linden CTA-Glenview-Northbrook Court bus routes. Affordable Housing The proposed development does not include affordable housing units. The developer cites challenging market conditions related to interest rates, financing, property values, and construction costs as the reasons. Sustainability The development is re-using a mostly vacant office building. Converting an existing building into a new use can be more cost-effective than constructing a brand-new facility. The reuse of structural elements, such as walls and foundations, can significantly reduce construction costs. This approach also helps to lower carbon emissions associated with manufacturing new materials and transportation. By repurposing existing structures, adaptive reuse reduces construction waste and diverts it from landfills. This contributes to a decrease in greenhouse gas emissions and supports sustainable development practices. Other sustainability features include: • 12 EV charging spaces and 12 EV ready spaces. • All ranges and washers/dryers will be Energy Star electric appliances. • Water sense plumbing fixtures. • Solar Ready Rooftop. • Bike room available to all commercial and residential tenants Bird Strike Mitigation Applicant will comply with the Village’s Bird Strike Mitigation regulations Staff requests that existing site plan ordinance #10-11-Z-3796 and #15-7-Z-4156 be repealed. Prior to the issuance of building permits, the petitioner shall submit a temporary pedestrian and bicycle circulation plan, including routing, signage, and barriers, to be in place prior to the commencement of construction, subject to the approval of the Engineering Division. 12. Trash shall only be allowed within a designated trash enclosure and shall be screened from public view in an enclosure approved by the Appearance Commission. All trash shall be contained in such a way as to remain out of sight at all times, except for waste receptacles in pedestrian or parking areas. 15. Waste receptacles shall be placed on the Subject Property for use by patrons, and the Health Department shall determine the size, type, and location of these units. 16. All off-street parking spaces shall be legibly striped and maintained. 17. Any plan to modify parking lot striping must be approved by the Director of Engineering. 18. The proposed development shall have a minimum of 518 off-street vehicle parking spaces including 15 handicapped parking spaces, as indicated on the Subject Property plan dated August 3, 2023. 19. The handicapped parking spaces shall be installed and maintained in compliance with State of Illinois Accessibility Standards and the Skokie Village Code, including required signage. 20. Vehicles shall not be allowed to be parked in or otherwise block common driveways, sidewalks, aisles, or other points of access at any time, shall only be parked in designated parking spaces, and shall not overlap the striped lines of designated parking spaces. 21. No required parking space on the site may be for the exclusive use of any commercial tenant. 22. All new utilities on the Subject Property or in adjacent right-of-way shall be placed or relocated underground. The petitioner shall bear the full cost of any utility relocation and/or conflicts. 23. The owner of the Subject Property shall cooperate with any public utility project. 24. All new construction, alterations, and remodeling shall meet current International Building and NFPA Life Safety Codes as amended. 26. The petitioner shall obtain all required permits and approvals for improvements to County, State, or Federal rights-of-way from the governing jurisdiction. 27. The Subject Property must conform to the Village's storm water control requirements as contained in the Skokie Village Code, including the disconnection of any downspouts. 28. All signage shall conform to the Skokie Village Code, except as provided in this ordinance. Any legal nonconforming sign on the Subject Property that shall conform with the Village Code when it is damaged >50%, modified, or replaced in the future. 29. All modifications to building elevations, signage, and landscaping shall be subject to the review and approval of the Skokie Appearance Commission. 30. The petitioner shall submit to the Planning Division electronic files of the plat of survey, site plan, and landscape plan in their approved and finalized form. The files shall be scaled 2-dimensional drawing files on non-compressed, non-read only CD- ROM *.dwg AutoCAD format. 31. Prior to the issuance of building permits, the petitioner shall submit to the Planning Division of the Community Development Department the name, property address, email address, and telephone number of the company and contact person responsible for site maintenance in compliance with this site plan approval. 32. If work is to be performed on public property or if public property is utilized or impacted during construction and/or development, the owner shall provide, or shall cause the developer and/or contractor to provide, the Village of Skokie with a certificate of insurance naming the Village of Skokie as additionally insured for any and all claims related to any and all work. The owner shall hold, and shall cause the developer and/or contractor to hold, the Village of Skokie harmless and indemnify the Village for any and all claims for property damage or personal injury related to work on or use of public property. 33. The petitioner shall comply with all Federal and State statutes, laws, rules and regulations and all Village codes, ordinances, rules, and regulations. 34. Failure to abide by any and all terms of this Ordinance shall be cause for the Village to initiate hearings to determine whether the subject Ordinance, as well as any applicable business licenses, should be revised or revoked. PIN: 10-09-102-063-0000 Developers and contract purchasers, Mitch Goltz, of GW Property Group and Tom Drake, of The Drake Group presented the case. They are proposing to add new housing stock on Old Orchard Road by adapting and re-using a mostly vacant office development into a residential + limited office development. They commented that the staff report was very thorough and complete. Current drawings and proposed renderings were displayed. The signage sizes will stay the same as will some of the ground floor entryways. The north and south towers are basically identical with a mix of studio, one, two, and three- bedroom units. The north tower will have a limited number of residential units on the ground floor along with offices which have long-term leases. They spoke of re-purposing the top deck of the parking garage into recreational and amenities space for a pool, games, yoga, pickleball, and bocce ball. Chairman Luke inquired about the mix of office space within a residential building. Mr. Goltz stated that the upper floors will be secured for the residential units and the ground floor spaces would be for the commercial uses. No retail spaces are being considered for this development. Commissioner Berman asked the total number of spaces in the garage. Mr. Goltz answered that they have 740 parking spaces available even after the garage roof transformation. Commissioner Franklin asked if they will be looking to add more office uses in the future. She questioned if the 1st floor is all commercial. Mr. Goltz responded saying that the north tower is a combination of 1st floor commercial (longer leaseholds) with some residential. In the future, both buildings will be totally residential once office leases expire. Commissioner Mathee noted that they are not required to include any affordable units and asked about rental rates. Mr. Goltz replied that it would depend on the market but would approximately be $2.60 to $3.00 per foot. The units would appeal to renters. Community Development Director Nyden added that the affordable housing ordinance was not approved by the Village Trustees and therefore the petitioners, although encouraged to include affordable housing units in the development, they are not compelled to. Commissioner Mathee concluded that the exception is that they are using an existing structure. Commissioner Berman inquired if the development group will retain ownership after construction. Mr. Goltz stated that they would turn over the operation to a professional building management company while keeping ownership. Paul Reise, Planning Manager requested that the report be entered into the record as written. Planning is in support of the project. He pointed out that some of the outdoor parking spaces at the north end of the north tower were removed to make way for private patios. He remarked that the generous setbacks and landscaping were a good buffer to neighboring Wilmette and Glenview. He concluded his overview stating that the current ordinances will be repealed. When asked, the applicant had nothing further to add. OMA provisions concerning the process and timing to approve closed session minutes have been subject to varying interpretations over the years and the state s municipaiities are seeking clarification of areas that have been open to varying interpretations in the last couple decades due to the state's lack of clarity. As a result, SB 3774 is an attempt to bring clear guidance so the state's municipalities will henceforth know their obligations without fail. A group representing municipal interests (Illinois Municipal League/ Northwest Municipal Conference/ and area municipal attorneys/ as well as Skokie's manager and myself) have been in discussions with the Attorney General's office on these subjects hoping to come to a common understanding of the law. There are two areas that often have been in dispute and are in need of statutory clarification: 1. Should closed session minutes be approved in dosed session where they originated or in public? One Attorney Genera! (Lisa Madigan) opined: "A closed meeting may be held to approve the minutes of a prior meeting/' (5 ILC 120/2(C)(21). For two decades municipalities operated under this guidance.-The current Attorney General/ reading the same law, interpreted it otherwise. it has been established that half of the municipalities of Illinois follow the Madigan guidance. Municipalities have agreed to accept the current interpretation and wish for it to be enshrined in law so the subject will no longer be ambiguous. It should be noted following the most recent opinion [ML distributed a lega! opinion attempting clarity which was shared with the Board. 2. Unlike the minutes for open sessions which are regulated with specificity/ the !aw is completely silent on when municipalities need to approve the minutes of closed sessions. Accordingiy, there has been varying disagreements. This subject is open to ongoing discussion between the parties hoping clarity will be brought to this subject as well. The discussions are ongoing and we thank Senator Vi!liva!am for his efforts to attempt to being clarity to the municipal code/ so municipalities henceforth will have unambiguous guidance on 618418 Return to Agenda observing the Open Meetings Act.
